This agreement is between Vuepoint I.T., LLC ("Vuepoint") a/an Texas based Limited Liability Corporation and You ("Customer") and is effective as of the date you purchase Software or Services as defined below. This represents the entire agreement between you and Vuepoint.

1. application and service details

The Software

The software is licensed for the exclusive use of the original purchaser on one computer only. You are free to move this software from one computer to another as long as it cannot be used on two computers at one time. You are licensed to publish an unlimited number of websites using this software. However, you will be required to pay a license fee for each website published.

Web Site Hosting Services

You are responsible for insuring that your web site conforms to all local, state, federal, and international laws. Further, you are responsible for insuring the legal copyright to any images, text, or other web site elements that are not provided by Vuepoint. Moving your web site off of the hosting servers is your responsibility. Vuepoint will not transfer or FTP your web site to another provider.

2. Vuepoint`s rights


Vuepoint retains all rights to this Software and Services, web site templates, forms, and documentation. You are entitled to use this Software, the web templates, forms and documentation to build web sites and post them to the Internet. You are entitled to use this Service to acquire domain names and host your web site on the Internet.

Vuepoint reserves the right to:

Censor any web site hosted on its servers that, in Vuepoint`s sole opinion, is deemed inappropriate.
Review every Web Hosting account for excessive space and bandwidth utilization. And, to terminate or apply additional fees to those accounts that exceed those levels that are allowed.
Modify Pricing through email notification.
Terminate your Web Hosting Service for unsolicited, commercial e-mailing; illegal access to other computers or networks (i.e. hacking); distribution of Internet
Viruses or like destructive activities; and other activities whether lawful or unlawful that we determine harmful to subscribers, operations, and reputation.
Terminate your Web Hosting Service if the contents of your web site result in, or are the subject of, legal action or threatened legal action, against Vuepoint or any of its affiliates or partners, regardless of whether or not such legal action or threatened legal action are eventually determined to be with or without merit. The decision to terminate your web hosting service as a result of actual or threatened legal action, shall be done so solely by Vuepoint, and in doing so,
Vuepoint shall not be required to consider the merits of the legal action or whether or not threatened legal action will actually come to pass.

3. liability & indemnification

Vuepoint provides this Software and Services "as is" without warranty of any kind either express or implied, including but not limited to the implied warranties or conditions of merchantability or fitness for a particular purpose. In no event shall Vuepoint be liable for any loss of profits, loss of business, loss of data, unsecured transactions, interruption of business, or for indirect special, incidental, or consequential damages of any kind, even if Vuepoint has been advised of the possibility of such damages arising from any defect or error in the documentation, software, web site templates, or hosting.

You shall indemnify, defend by counsel reasonably accepted by Vuepoint, protect and hold Vuepoint harmless from and against any and all claims, liabilities, losses, costs, damages, expenses, including consultants` and attorneys` fees and court costs, demands, causes of action, or judgments directly or indirectly arising out of or relating to Software and Services provided.

Microsoft and Windows are registered trademarks of Microsoft Corporation in the United States and/or other countries.
InterNIC is a registered Service Mark of the U.S. Department of Commerce.
.GIF technology licensed is from Unisys Corporation. This license does NOT allow you to use Unisys compression technologies other than through the Application. Hosting with other Internet Service Providers (ISP) requires you or your ISP to obtain a license with Unisys Corporation for placing .GIF images on the Internet.
